Agreement and eligibility
These Terms govern access to Prosper Suite, including the public directory, request, quote and recommendation services, provider profiles, subscriptions, Wallet, lead access, paid advertising, Profile Promotions, affiliate offers, Support, reviews and referral features. By creating an account, purchasing a service, submitting a request or using the platform, you agree to these Terms and the policies incorporated by reference.
You must be at least 18 and legally able to enter a binding agreement. Provider accounts are intended for people and organizations acting for business or professional purposes.
Marketplace role
Prosper Suite operates a marketplace and technology platform. Providers are independent businesses, not employees, agents, partners or representatives of Prosper Suite. We do not provide coaching, guarantee provider credentials, guarantee a match, guarantee search or homepage placement, or guarantee any business, personal, financial, health or employment outcome.
Users are responsible for evaluating providers and deciding whether a provider is appropriate for their needs.
Accounts and security
Provide accurate information, protect your account and promptly report suspected unauthorized access. Passwordless login links are sensitive credentials and may be used only by the intended recipient. Privileged staff accounts may be subject to stronger authentication requirements.
Provider profiles and directory records
Providers must keep claimed profiles accurate, hold any claimed credentials or permissions, communicate professionally, comply with applicable law and avoid misleading statements. Prosper may also maintain public, unclaimed directory records from permitted business information or integrations until a legitimate claim occurs. A public listing, verification indicator, package level, search position or promotion does not constitute an endorsement or guarantee of credentials, suitability or results.
Subscriptions, Wallet and lead access
Subscription prices, renewal terms, Wallet funding, included credits, lead prices and competition limits are disclosed before purchase. Cash-funded balances, included credits and promotional credits are accounted for separately. Lead access is an opportunity to contact a prospective customer, not a promise of response or conversion.
Refunds, advertising and purchase corrections
Our Refund and Cancellation Policy applies. Eligible subscription charges may be submitted for review within 14 calendar days. Purchased advertising is non-refundable as a discretionary or performance-based matter. Duplicate charges, unauthorized charges, Prosper-undeliverable purchases and verified Prosper platform failures are handled through the documented Purchase Corrections process, which may use an operational remedy or an externally processed financial correction as appropriate.
Search, recommendations and automated assistance
Search ordering, recommendations, matching, Page Review, content assistance and other platform functions may use deterministic rules, automated systems or AI-assisted tools. Package eligibility, relevance, claim status, availability and disclosed promotion can affect visibility. Automated output may be incomplete or inaccurate and does not replace user judgment, provider evaluation or a human decision where Prosper requires staff approval.
Advertising, promotions and affiliate relationships
Paid advertising and Profile Promotions are separate from a provider’s underlying package and organic eligibility. Paid and complimentary promotions may receive disclosed placement without changing package entitlements. Traditional ads are identified as advertising and promoted provider cards are identified as promoted. Prosper may also publish affiliate offers and may receive compensation when a user follows or completes an eligible third-party offer. See the Advertising and Promotions Policy.
Reviews and content
You retain ownership of content you submit but grant Prosper Suite a non-exclusive, worldwide license to host, reproduce, format and display it as needed to operate and promote the platform. Reviews must reflect genuine experiences and comply with the Review and Reputation Policy.
Prohibited use
Do not misuse the service, scrape protected data, bypass access controls, send spam, impersonate others, introduce malicious code, manipulate reviews, resell lead information, harass users or use the platform for unlawful or deceptive activity.
Suspension and termination
We may limit or suspend access for security, fraud, nonpayment, policy violations, legal requirements or material risk. You may cancel according to the published cancellation process. Sections concerning payment obligations, intellectual property, disclaimers, limitations and dispute terms survive termination.
Disclaimers and limitation of liability
The platform is provided on an “as available” basis to the fullest extent permitted by law. We do not guarantee uninterrupted operation, particular search placement, lead volume or results. To the fullest extent permitted by law, Prosper Suite is not liable for indirect, incidental, special, consequential or punitive damages, or for provider-user disputes. Any aggregate liability will not exceed the amount you paid to Prosper Suite during the 12 months preceding the event giving rise to the claim, except where a different limit is required by law.
Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Before filing a claim, contact privacy@prosper-suite.com and allow 30 days for an informal resolution effort. Venue for permitted court proceedings will lie in a state or federal court with jurisdiction in Florida, subject to applicable consumer rights.
Changes
We may update these Terms. Material changes will be posted with a new effective date and, when appropriate, communicated through the account or email. Continued use after the effective date constitutes acceptance where permitted by law.
